INTRODUCTION

These terms and conditions govern the relationship between Adriana Machielsen (“I”, “me”, “my”) and any client, company, or individual (“you”, “your”) who engages my services or uses my website at adrianamachielsen.com.

By booking a service, signing a proposal, making a payment, or otherwise engaging with my services, you confirm that you have read, understood, and agreed to these terms and conditions in their entirety.

1. ABOUT ME

I operate as a sole trader providing corporate language training, executive coaching, translation, and corporate copywriting services.


2. SERVICES

2.1 Services offered

I offer the following services as described on my website:

  • Corporate English and Dutch language training for teams and companies
  • Executive 1-to-1 language coaching for individual professionals, available in three packages: Starter, Professional, and Executive
  • Translation between English and Dutch
  • Corporate copywriting in English and Dutch

2.2 Service descriptions

Full descriptions of each service, including what is included in each coaching package, are available on my website at adrianamachielsen.com. These descriptions form part of our agreement.

2.3 Customised services

Where a service is customised to your specific requirements — for example, a bespoke corporate training programme or a translation project — the specific scope, deliverables, timeline, and pricing will be agreed in writing before work begins. That written agreement forms part of these terms and conditions.

2.4 Service delivery

All services are delivered fully online via video conferencing platforms including Zoom or Google Meet, unless otherwise agreed in writing. You are responsible for ensuring you have access to a stable internet connection and the necessary technology to participate in online sessions.


3. BOOKING AND CONFIRMATION

3.1 How to book

Services can be booked by:

  • Completing the contact form on my website
  • Sending an email to [email protected]
  • Booking a free intake call via my scheduling platform

3.2 Intake call

For coaching and training services, I offer a free 20-minute intake call before any commitment is made. This call allows us both to confirm that the service is the right fit for your needs.

3.3 Confirmation

A booking is confirmed when:

  • You have received written confirmation from me by email, and
  • Payment has been received in full, or a payment agreement has been confirmed in writing

I reserve the right to decline any booking at my discretion prior to written confirmation.

3.4 Accuracy of information

You agree to provide accurate and complete information when booking my services. If any information you provide is inaccurate or incomplete and this affects my ability to deliver the service, I accept no liability for any resulting issues.


4. PRICING AND PAYMENT

4.1 Pricing

All prices are listed on my website in Euros (€) and are inclusive of any applicable taxes unless otherwise stated. Prices are subject to change at any time. The price confirmed in writing at the time of your booking will apply to your engagement.

4.2 Coaching packages

Current pricing for executive coaching packages is as follows:

4.3 Translation and copywriting pricing

Translation and copywriting projects are priced individually based on the nature, volume, complexity, and deadline of the work. A written quote will be provided before any work begins. No work will commence until the quote has been accepted in writing.

4.4 Corporate training pricing

Corporate training programmes are priced on a bespoke basis following an intake consultation. Pricing will be confirmed in a written proposal before any commitment is made.

4.5 Payment terms

  • Coaching packages — payment is due in full before the first session takes place
  • Translation and copywriting projects — for projects under €500, payment is due in full before work begins. For projects over €500, a deposit of 50% is due before work begins and the remaining 50% is due upon delivery
  • Corporate training programmes — payment terms will be agreed in writing as part of the programme proposal. Typically a deposit of 50% is required before the programme begins

4.6 Payment methods

Accepted payment methods will be confirmed at the time of invoicing. Invoices are issued in Euros (€).

4.7 Late payment

If payment is not received by the due date stated on your invoice, I reserve the right to:

  • Suspend delivery of services until payment is received
  • Charge interest on overdue amounts at a rate of 8% per annum above the European Central Bank base rate
  • Recover reasonable costs incurred in pursuing overdue payment

4.8 Currency and bank charges

All payments are to be made in Euros (€). You are responsible for any bank transfer fees or currency conversion charges incurred on your side.


5. CANCELLATION AND RESCHEDULING

5.1 Cancellation by you — coaching sessions

For individual coaching sessions within a package:

  • More than 24 hours notice — the session may be rescheduled at no charge
  • Less than 24 hours notice — the session will be considered used and cannot be rescheduled or refunded
  • No show without notice — the session will be considered used and cannot be rescheduled or refunded

5.2 Cancellation of a full coaching package by you

If you wish to cancel a coaching package after payment has been made:

  • Before the first session — a full refund will be issued minus a €50 administrative fee
  • After the first session — a refund will be issued for unused sessions minus a €50 administrative fee and minus the full per-session rate for any sessions already completed
  • After the halfway point of the package — no refund will be issued for remaining sessions

5.3 Cancellation of translation or copywriting projects by you

If you cancel a translation or copywriting project after work has begun:

  • You will be invoiced for the proportion of work completed at the time of cancellation
  • Any deposit paid will be retained and offset against the amount owed
  • If the amount owed exceeds the deposit paid, an invoice will be issued for the difference

5.4 Cancellation of corporate training programmes by you

Cancellation terms for corporate training programmes will be specified in the written proposal and agreement for each programme. Generally:

  • Cancellation more than 14 days before the programme start date — deposit is non-refundable but remaining balance will not be charged
  • Cancellation within 14 days of the programme start date — full programme fee is payable

5.5 Cancellation or rescheduling by me

I reserve the right to cancel or reschedule sessions or projects in exceptional circumstances — for example, in cases of illness, emergency, or force majeure. In such cases:

  • I will notify you as soon as possible
  • Sessions will be rescheduled at a mutually agreed time at no additional cost
  • If rescheduling is not possible, a full refund will be issued for the affected session or work not yet completed

5.6 Package expiry

Coaching packages must be completed within the following timeframes from the date of the first session:

Sessions not used within these timeframes will be forfeited without refund unless an extension has been agreed in writing.


6. TRANSLATION AND COPYWRITING — SPECIFIC TERMS

6.1 Source materials

You are responsible for providing accurate, complete, and final source materials for translation or copywriting projects. I accept no liability for errors resulting from inaccurate, incomplete, or subsequently changed source materials.

6.2 Revisions

One round of revisions is included as standard in every translation and copywriting project. Revisions must be requested within 7 days of delivery. Additional revision rounds beyond the first are available at my standard hourly rate, agreed in advance.

6.3 Deadlines

Project deadlines will be agreed in writing before work begins. I will make every reasonable effort to meet agreed deadlines. If you cause a delay — for example, by providing source materials late or delaying feedback — I reserve the right to adjust the delivery date accordingly.

6.4 Your responsibilities

You are responsible for ensuring that any materials provided to me for translation or copywriting do not infringe any third-party intellectual property rights, and that you have the right to use and share those materials. I accept no liability for any claims arising from materials provided by you.

6.5 Proofreading

While I take great care with the accuracy of all translations and copy, I recommend that all final content is reviewed by you or a relevant team member before publication. I accept no liability for errors not identified during the revision process described in clause 6.2.


7. INTELLECTUAL PROPERTY

7.1 My materials

All training materials, resources, exercises, documents, and written content created by me and shared during coaching sessions or training programmes remain my intellectual property. You may use these materials for your own personal or internal professional development but may not reproduce, distribute, sell, or share them without my prior written consent.

7.2 Translated and copywritten content

Upon receipt of full payment, ownership of the final translated or copywritten content transfers to you. Until full payment is received, all content created by me remains my intellectual property.

7.3 Your materials

All materials, documents, and content provided by you to me for the purposes of translation, copywriting, or training remain your intellectual property. I will not use your materials for any purpose other than delivering the agreed service.

7.4 Confidentiality

I treat all materials, documents, and information shared with me by clients as strictly confidential. I will not share, reproduce, or disclose any client materials or information to any third party without your prior written consent, except where required by law.


8. CONFIDENTIALITY

8.1 My obligations

I agree to keep all information shared with me in the course of providing services — including business information, personal information, documents, and communications — strictly confidential. I will not disclose this information to any third party without your prior written consent.

8.2 Your obligations

You agree to keep confidential any proprietary methods, materials, pricing, or business information shared with you by me in the course of our engagement.

8.3 Exceptions

Confidentiality obligations do not apply to information that:

  • Is or becomes publicly available through no fault of either party
  • Was already known to the receiving party before disclosure
  • Is required to be disclosed by law or regulatory authority

9. DATA PROTECTION

The collection and processing of personal data in connection with my services is governed by my Privacy Policy, available at adrianamachielsen.com/privacy-policy. By engaging my services you confirm that you have read and understood my Privacy Policy.

Where I process personal data on behalf of a corporate client, a Data Processing Agreement may be required. Please contact me at [email protected] to discuss this.


10. LIMITATION OF LIABILITY

10.1 No guarantee of outcomes

While I am committed to delivering high-quality services and supporting your language development, I cannot guarantee specific outcomes — including but not limited to examination results, language test scores, or professional outcomes resulting from improved language skills. Results depend on many factors including your own engagement, effort, and individual circumstances.

10.2 Limitation of liability

To the fullest extent permitted by applicable law, my total liability to you in connection with any service — whether arising in contract, tort, negligence, breach of statutory duty, or otherwise — shall not exceed the total amount paid by you for the specific service giving rise to the claim.

10.3 Exclusions

I shall not be liable for any:

  • Loss of profit, revenue, business, or anticipated savings
  • Loss of data or information
  • Indirect, consequential, or special loss or damage
  • Loss arising from your failure to follow my recommendations or advice

10.4 Nothing in these terms excludes or limits liability for:

  • Death or personal injury caused by negligence
  • Fraud or fraudulent misrepresentation
  • Any other liability that cannot be excluded or limited by applicable law

11. WARRANTIES AND REPRESENTATIONS

I warrant that:

  • I have the necessary skills, qualifications, and experience to deliver the services described
  • I will deliver services with reasonable care and skill
  • My services and materials do not infringe any third-party intellectual property rights

You warrant that:

  • You have the authority to enter into this agreement — and where acting on behalf of a company, that you are authorised to bind that company
  • All information provided to me is accurate and complete to the best of your knowledge
  • Any materials provided to me do not infringe any third-party rights

12. FORCE MAJEURE

I shall not be liable for any failure or delay in performing my obligations where such failure or delay results from circumstances beyond my reasonable control — including but not limited to illness, natural disaster, pandemic, war, civil unrest, government action, power failure, or internet outage.

In such circumstances I will notify you as soon as possible and make every reasonable effort to resume services or agree an alternative arrangement.


13. TESTIMONIALS AND CASE STUDIES

With your prior written consent, I may use anonymised or attributed feedback, testimonials, or brief case studies for marketing purposes — including on my website and LinkedIn profile. You may withdraw this consent at any time by contacting me at [email protected].

I will never share identifiable client information for marketing purposes without your explicit written consent.


14. CHANGES TO THESE TERMS

I reserve the right to update these terms and conditions at any time. The version in force at the time of your booking will apply to your engagement. Updated terms will be published on my website with a revised “Last updated” date.

For ongoing engagements, I will notify you of any material changes by email with reasonable notice before changes take effect.


15. SEVERABILITY

If any provision of these terms and conditions is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severed from the remainder of the terms. The remaining provisions shall continue in full force and effect.


16. ENTIRE AGREEMENT

These terms and conditions, together with any written proposal, quote, or agreement specific to your engagement, constitute the entire agreement between us in relation to the services and supersede all prior discussions, representations, and agreements.


17. GOVERNING LAW AND JURISDICTION

These terms and conditions are governed by and construed in accordance with Belgian law. Any disputes arising out of or in connection with these terms and conditions shall be subject to the exclusive jurisdiction of the courts of Belgium, without prejudice to your rights as a consumer under applicable local law.
